Privacy Statement

There are a number of independent member firms within the PricewaterhouseCoopers network1 which will be providing various parts of the Portal. The personal data you provide when you register for the Portal will be controlled by the entity named on your registration page. You might provide personal data either before or after registration to a particular entity if you subscribe to a newsletter or use any "Contact Us" features or if you are using a part of the Portal which is provided by that entity. In this case, your personal data will be controlled by the entity to which you send your personal data (Other entities may also control your personal data as described below.) Certain services or information offered on the portal may be subject to a different privacy policy. In such instances, a separate privacy policy will be posted.

"We" or "us" in this Privacy Statement means, in relation to your personal data, the PricewaterhouseCoopers entity that is the controller of that personal data.

"You" in this Privacy Statement means you as an individual, rather than any legal entity (such as your employer) which you may represent when you register for the Portal or order a product or service from us using this Portal.


1. What information is collected?

"Personal data" means information about you and/or third parties (where required by law, a third party could be a legal entity represented by you e.g. where you submit data to us about your employer or a client company).

When you visit this Portal and in the course of providing products or services to you, we may collect personal data either:

(i) directly where you are asked to provide data, such as when you register, use any "Contact Us" features of the Portal or subscribe for newsletters (e.g. name, e-mail address and mailing address); or

(ii) indirectly, such as using cookies (as described below) or customizing software to tailor the site to your preferences or to track your use of certain pages of the Portal (e.g. your internet protocol address) and other technical means to monitor your use of the Portal or from third parties who provide us with information about you.

If you decide to register and obtain services or information using this Portal (or if a legal entity which you represent has already registered and you log in to the Portal), you may be asked to fill in certain boxes with information about yourself or others. You do not have to fill in the "optional" boxes - if you don't, we will still register you or process your order or question but it is always helpful for us to receive this optional data as it may help us to understand your business needs. You must fill in the "mandatory" boxes marked * as otherwise we may not be able to register you or process your order or question. We will only ever collect, hold, process, use, communicate and/or disclose such personal data, whether optional or not, in accordance with this Privacy Statement.

If you are acting as an intermediary or otherwise on behalf of a third party or supply us with information regarding a third party (such as your employer or a client company), you undertake that you are an authorised representative or agent of such third party and that you have obtained all necessary consents from such third party to the collection, processing, use and disclosure by us of their personal data. Because we are collecting the third party's data from you, you undertake to make the third party aware of all matters listed in this Privacy Statement, preferably by distributing a copy of this statement to them or by referring them to our website.

We do not generally seek to collect sensitive data through the Portal. If we do seek to collect such data we will ask you to consent to the uses we propose to make of the data. By providing us with unsolicited sensitive data you consent to our using those data, subject to applicable law, for the purposes set out below.

3. Are cookies used on the Portal?

A cookie is information sent by a Web server to a user's computer and stored there. The information stored in the cookie can be accessed by that server when the user returns to the web site (in this case the Portal). A cookie can hold a variety of information, including the number of times the user has accessed the site, registration information, and the number of times a user has seen a particular advertisement on the site.

We use cookies to help us authenticate your identity as a registered user when you log on to the Portal. We also use individual session cookies for each user to track your use of Portal within a single session. Cookies enable us to recognise your browser and to provide certain features to you.

The "help" function on most browsers will have information on how to prevent your computer accepting cookies, find out if you have received a cookie and disable them completely, if this is what you want to do. However, be aware that if you do disable cookies, you will not be able to register as a user of the Portal nor take advantage of a number of useful features on the Portal so we would recommend that you use them.

4. How can I access or change my personal data or withdraw my consent?

You are entitled to request access to and correct all your personal data collected by us via this Portal, as well as to require us to delete your personal data if you no longer want us to process it. You may have additional rights provided by applicable laws.

You can make such a request or a related enquiry by sending an email to the entity named on your registration form and/or the entities to whom you have submitted personal data. If you consent or have previously consented to the collection, holding, processing, use, communication and/or disclosure of personal data as identified herein, please note that you can withdraw your consent at any time by sending an email message to our privacy office at privacy@pwc.com and/or the entities to which you have submitted personal data. You may send an email to pwcportal@custhelp.com to obtain a list of the PricewaterhouseCoopers entities and their contact details.

Please note that there may be a small charge for making an access request or it may be free, depending on the circumstances. In particular, in some countries (such as Germany) you may be entitled to make this request for free. You can find out more details by emailing the appropriate entity as indicated above.

You may be able to update some of the data we hold about you (such as your registration data) directly yourself, by editing "User Information" in the "My Account" section of the Portal.

5. Are personal data transferred to another country?

Because of the international nature of the service provided by this Portal and the nature of PricewaterhouseCoopers' activities, personal data may, subject to applicable law, be transferred internationally to other PricewaterhouseCoopers' entities world-wide for the purposes described above. Details of any international transfers are available on request to the entity identified on your registration page or the entity to which you have submitted information, as described in paragraph 4 above.

This may mean that personal data are transferred to countries, such as the United States where the Portal's server is located, which do not provide legal protection of personal data equivalent to that in the country from which you are accessing the site.

To use the Portal, you must explicitly consent to the transfer of your personal data to PricewaterhouseCoopers entities located in other countries for the specific purposes described in this Privacy Statement.

6. Are personal data disclosed to other entities?

The data will only be disclosed to certain types of staff within PricewaterhouseCoopers entities (i.e. staff whose job it is to process your enquiries and orders or otherwise to administer the Portal and those staff involved in the provision of services and products which may be of interest to you) and they will only process the data for the purposes identified in this Privacy Statement.

Personal data will also, subject to applicable law, be disclosed:
In some situations, you may submit personal data via the Portal directly to third parties who supply services to PricewaterhouseCoopers entities in connection with the Portal (such as authenticating your user details and password or processing credit card details, among others). Before submitting personal you will be informed if this is the case and whether that entity will process personal data pursuant to this Privacy Statement or another privacy statement and given the name and contact details of the entity to whom you are submitting personal data.

Again, this may mean that data are transferred to countries such as the United States as any such third parties mentioned above may be located there.

7. How long are personal data retained?

We will keep your personal data only as long as it is reasonably necessary for the purposes described in this Privacy Statement or, if you have registered for the Portal and to the extent necessary to preserve our rights or allow us to comply with our obligations in relation to your registration, for 7 years from the date your registration is terminated, whichever comes last.

8. How are personal data secured?

We have implemented generally accepted standards of technology including Secure Socket Layer (SSL) and operational security in order to protect the personal data collected but the nature of the Internet is of course such that the data may flow over networks without appropriate security measures and may be accessed and used by unauthorised persons.

Please note that this Privacy Statement only covers this Portal, which may or may not regulate the privacy practices of other web sites that may be accessible through or linked to this Portal. We encourage visitors to review each site's privacy statement before disclosing any personal identifying information.

The Portal is provided by PricewaterhouseCoopers LLP("PwC"), the limited liability partnership registered in England with its registered office at 1 Embankment Place, London. Your access to, and use of, the online information and services provided through the Portal are subject to the following terms and conditions:

1. Limitations on Liability

1.1 Online Services. Unless expressly stated otherwise, the online information and services (collectively, the "Services") provided by PwC through the Portal are for general guidance only. PwC will provide the Services based on the law, rules, applicable regulations and associated interpretations existing at the time identified on the Portal for any particular Service. The application and impact of laws can vary widely based on the specific facts involved. (b)
WE DISCLAIM ALL LIABILITY IN RESPECT OF THE PORTAL, THE PORTAL, THE SERVICES AND SUCH INFORMATION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, WARRANTIES THAT THE INFORMATION ON THE SITE WILL BE PROVIDED OR PREPARED USING REASONABLE SKILL OR CARE).

1.3 Downtime Data Loss and Security.

You understand and agree that no representation or warranty is made with respect to the functionality or availability of the Services, and that all or any portion(s) of the Services may for a variety of reasons be unavailable to you for use either temporarily or permanently without notice.

(b)
You further agree and understand that information and data related to the Services may be irretrievably lost or destroyed at any time, and it will be your responsibility to make all necessary copies and backups of any appropriate information and data posted to or obtained or available from the Services or the Portal.

(c)
You agree that neither PwC nor any PwC Entity nor its or their licensors and suppliers will have any liability due to your inability to access the Portal or the Services, any portion thereof or any related data or information, and will not have any liability in connection with the loss or destruction of any such data or information.

(d)
You understand and acknowledge that no web site or network is immune from unauthorized access. Accordingly, PwC will not have any liability or responsibility in connection with any unauthorized access to the Services or the Portal.

(e)
You understand and agree that the Services may be unavailable due to scheduled maintenance.

(f)
PwC reserves the right to prevent or limit access to the Portal or the Services for security, upgrades or other reasonable purposes.

2. Indemnification.

2.1 To the maximum extent permitted by applicable law, you agree to defend (at the indemnified party's option), indemnify and hold PwC, each PwC Entity and its or their respective partners, principals, employees, licensors, agents, affiliates, business associates, suppliers and insurers (each an "Indemnified Person") harmless from and against any and all losses, damages, liabilities, costs (including reasonable attorneys' fees) and expenses in connection with any claim arising out of or in connection with any content or information posted or transmitted by you using the Services or that otherwise arise out of your use of the Services or the Portal or that of any other third party who is given or gains access to the Services or the Portal due to your action or inaction.

2.2 At any time, an Indemnified Person has the right to forego the indemnification and assume the defence of any claim.

2.3 Notwithstanding this clause 2, it is not the intent of the parties to affect the rights of any Indemnified Person's insurers to assume the defence or settlement of any claim against such Indemnified Person for which insurance coverage is sought under any relevant policy.

3. Eligibility; Registration and use of the Portal

3.1 You may use the Portal and the Services under these terms and conditions provided that:

(a)
you are using the Portal and the Services on behalf of your employer, which is a United Kingdom corporate or other business entity or business partnership which can enter into legally binding contracts over the Internet under applicable law;

(b)
you are not a "consumer" for the purposes of any applicable laws or regulations or a natural person (other than a sole professional practitioner);

(c)
you are not incorporated, registered or established under the laws of any jurisdiction not specified in your registration form and are not using the Portal from any such country; and

(d)
you are not prohibited to access the Portal under any applicable laws, rules or regulations.

3.2 If you do not qualify under the foregoing eligibility requirements at any time, you cannot use the Portal, and if you do use the Portal, you acknowledge and represent that you are eligible to use the Portal and that you are not a person referred to above.

3.3 In the event that you are a person who does not meet the eligibility criteria set out above but nevertheless registers and uses the Portal, you as a non-eligible party shall have all the obligations, responsibilities and liabilities as would an eligible entity that is a party to this Agreement.

3.4 All registrations must contain the required fields indicated on the registration form. You warrant that all information provided or confirmed by you in connection with registration is true, accurate, complete and up-to-date and you agree to make any changes necessary to your user profile on the Portal to ensure that such information is true, accurate, complete and up-to-date at all times.

3.5 Security. You will be required to enter your username and password every time you wish to access the Services.
Your username and password are personal to you and non-transferable, and you shall maintain them in strict confidence and will not communicate them to anyone else or allow anyone else to use them.

YOU ARE RESPONSIBLE FOR ALL USE OF THE SERVICES AND THE PORTAL MADE USING YOUR USERNAME AND PASSWORD, REGARDLESS OF THE IDENTITY OF THE PERSON MAKING SUCH USE, AND PwC AND ITS LICENSORS WILL NOT HAVE ANY RESPONSIBILITY OR LIABILITY IN CONNECTION WITH ANY UNAUTHORISED USE OF THE USERNAMES OR PASSWORDS OR ANY UNAUTHORISED USE OF THE PORTAL OR THE SERVICES.

If you become aware of a breach of security with respect to your password or of any other breach of security, you will immediately notify PwC. Your access to or use of the Portal may be immediately suspended with or without notice by PwC at any time for any reason.

3.6 Restrictions. Except as otherwise expressly permitted under this Agreement, you may not do any of the following, nor may you authorise any third party to do any of the following with respect to the Portal or the Services, including without limitation any of its related technology and databases:

(a)
access or use any portion except for your internal business purposes (and in particular not to use or access any portion thereof for marketing or advertising purposes);

(b)
modify or create any derivative works;

(c)
decompile, disassemble, reverse engineer, or otherwise attempt to derive the related source code;

(d)
redistribute, encumber, sell, rent, lease, use for service bureau purposes, sublicense or otherwise transfer any related rights; or

(e)
remove or alter any related trademark, logo, copyright or other proprietary notices, legends, symbols or labels.

You may not reproduce or copy any portion of the Portal or Services other than:

(a)
to access the Portal and Services in accordance with this Agreement; or

(b)
to reproduce a reasonable number of hard copies of information obtained from the Portal and Services for the use only of the individual who is registered for the Portal in the course of his / her employment with the entity which is registered for the Portal and provided that such copying is done on an ad hoc basis only and that no more than one article or extract is reproduced on each occasion.

3.7 Posting of Information and Access Thereto; Suspension of Service. You will not use the Services to post or transmit any information or content in violation of any applicable law or regulation, or in any manner that violates, infringes or misappropriates any third party right or interest, or in any manner that causes harm or damage of any kind. Among other prohibited activities and without limiting the foregoing, you must not make available or promote in or through the Services any material which:

(a)
infringes any person's intellectual property rights;

(b)
is or is likely to be perceived as defamatory, threatening, misleading, offensive or inappropriate, or materially misrepresents facts;

(c)
adversely affects performance or availability of the Services or the Portal (or any part thereof), or places an undue load on PwC network resources;

(d)
contains any virus, harmful component or corrupted data; or

(e)
contains any advertising, promotion or solicitation.

You understand that PwC cannot and will not undertake to approve or endorse any material uploaded, posted or published by you or by other users of the Services.

Notwithstanding that PwC is under no obligation to read, approve or endorse material uploaded, posted or published in connection with the Services, in the event that PwC becomes aware of, or a third party notifies PwC that the third party believes that information or content posted or placed on the Services violates an applicable law or regulation, or violates, infringes, misappropriates any third party right or interest, or otherwise unlawfully harms or damages an individual or entity, PwC may suspend service on part or all of the Services to which the allegations pertain.

PwC further reserves the right to deny you access to the Services in the event PwC believes that you may have violated the provisions of this Section or are otherwise in breach of this Agreement.

In addition, PwC may, without notice, suspend all services to you hereunder, destroy any information or data entered by you on the Services, and/or block your access to the Services to the extent that PwC is required by law or order of any court or regulatory agency to do so.

3.8 Linking. You may not link to the Portal from any website without PwC's prior written consent. If and where the Portal or the Services provide links to any third party website, such website may not be under either PwC's control and accordingly PwC will have no responsibility for, and does not make any representations or warranties with respect to, such website or any content, products or services in connection therewith, and PwC does not endorse any of the same.

3.9 Compliance with Laws. You will comply with all applicable domestic and foreign laws, rules and regulations in connection with your use of the Portal and the Services provided hereunder.

3.10 Changes to Services. PwC reserves the right to change without notice, at its sole discretion, the content, presentation, performance, functionality and availability of the Services and the Portal.

3.11 Ownership. All right, title and interest in and to the Portal and the Services, including without limitation all information and related technology, shall remain with PwC and/or its licensors (except with respect to content placed on the Services by you and certain other third parties), and you shall have no rights in the Portal or the Services or any of PwC's other intellectual property. You acknowledge such ownership and intellectual property rights and will not take any action to jeopardise, limit or interfere in any manner with PwC's or its licensors' ownership of or rights with respect to the same.

4. Term and Termination.

4.1 PwC may, without terminating this agreement, suspend the provision of the Services or the Portal in whole or in part until further notice without warning for any reason.

4.2 Either party may terminate this Agreement, with or without cause, at any time, in the case of termination by PwC, by sending an email to your email address specified in your user profile and, in the case of a termination by you, by sending an email to PwC at the email address specified on the Portal.

4.3 All terms and condition of this Agreement that are intended by their nature to survive termination of this Agreement shall survive termination and remain in full force, including but not limited to the terms and conditions concerning any disclaimers, intellectual property rights, duties of confidentiality, limitations of liability, duties of indemnification, and provisions regarding resolution of differences. Although each party's further rights and obligations cease immediately on termination of this agreement, termination does not affect a party's accrued rights and obligations at the date of termination.

5. General

5.1 Governing Law, Jurisdiction and Venue.

THIS AGREEMENT AND ALL RELATIONS BETWEEN THE PARTIES ARISING OUT OF THIS AGREEMENT (INCLUDING IN RELATION TO TORT OR ITS EQUIVALENT) SHALL BE GOVERNED BY THE LAWS OF ENGLAND AND WALES.

THE COURTS OF ENGLAND SHALL HAVE EXCLUSIVE JURISDICTION TO SETTLE ANY DISPUTE ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT AND YOU HEREBY SUBMIT TO THE JURISDICTION OF THE ENGLISH COURT.

THIS CLAUSE 5.1 IS FOR THE BENEFIT OF PwC ONLY. AS A RESULT IT DOES NOT PREVENT PwC FROM TAKING PROCEEDINGS RELATING TO A DISPUTE IN ANY OTHER COURTS WITH JURISDICTION AND TO THE EXTENT ALLOWED BY LAW, PwC MAY TAKE CONCURRENT PROCEEDINGS IN ANY NUMBER OF JURISDICTIONS.

5.2 Conflict; Severability. In the event of any conflict between this Agreement and any procedures or requirements set out in the Portal or the Portal, the provisions of this Agreement will prevail.

If any provision of this Agreement is held to be invalid, void or illegal, it will be severed from this Agreement and will not affect, impair or invalidate any other provision, and it will be replaced by a provision which comes closest to such severed provision in language and intent without being invalid, void or illegal.

5.3 Amendment. PwC may amend this Agreement at any time. Upon posting on the Portal, the new terms (including price) are automatically effective and binding on you. If you do not wish to accept such amendment, you may terminate this Agreement pursuant to Clause 4. This Agreement may not be otherwise amended.

5.4 Assignment. You may not assign, transfer, change or otherwise seek to deal with any rights or obligations under this Agreement without the prior written consent of PwC. PwC may assign this Agreement.

5.5 No Implied Waiver. No right under this Agreement or breach hereof may be waived except in writing signed by the parties hereto. The failure of either party to require performance of any provision of this Agreement will not be construed as a waiver of such party's rights to insist on performance of such provision or any other provision at some other time.

5.6 Third Party Rights. Each PwC Entity and each Indemnified Person may enforce the provisions of Clauses 1 and 2 subject to and in accordance with the Contracts (Rights of Third Parties) Act 1999.

5.7 Specific Module Terms. Particular modules or services provided on the Portal may be provided on terms and conditions specifically applicable to those modules or services. You will be asked to agree to those terms and conditions before you first access those modules or services.
